1. Definitions
"Kindaroo", "we", "us" or "our" refers to Kindaroo Logistics Sdn Bhd, a company registered in Malaysia under registration number 202401045678 (1567824-K). "Customer", "you" or "your" refers to the party requesting our services.
2. Scope of services
We provide freight forwarding, customs brokerage and warehousing services as a Malaysian licensed agent. We act as an agent on your behalf with carriers, customs authorities and third-party service providers, except where we expressly contract as principal.
3. Quotations
Quotations are valid for fourteen days unless otherwise stated. Rates assume cargo, dimensions and timings as declared at the point of quote. Where the actuals differ — for example the chargeable weight is higher than declared or hazardous classification was not disclosed — we may revise the rate before booking.
4. Customer obligations
You will:
- Provide accurate and complete cargo descriptions, weights, dimensions and values.
- Declare hazardous classification, controlled goods and any FTA or origin preferences you wish to claim.
- Supply all permits and supporting documents at least 48 hours before scheduled gate-in.
- Pay our invoices within the agreed credit terms.
5. Liability
Our liability for loss of or damage to cargo is limited to the applicable international convention — CMR for road haulage, the Hague-Visby Rules for sea freight and the Montreal Convention for air freight — or SDR 2 per kilogram where no convention applies. We strongly recommend you arrange marine or air cargo insurance for the full insurable value of every shipment.
6. Insurance
Cargo insurance is not included unless explicitly stated on the quotation. We can arrange cover with our underwriting partners — please ask before booking.
7. Customs declarations
When acting as your customs broker we file declarations based on the information and documents you supply. You remain the importer of record and are responsible for the underlying accuracy of declared values, classifications and origin. We retain the right to refuse a declaration where, in our professional judgement, the information provided is materially incorrect.
8. Storage
Cargo held in our Shah Alam warehouse is covered by all-risk warehouseman's cover up to the limits stated in the storage agreement. Storage charges accrue from the day of receipt. Goods left uncollected after 90 days, where charges remain unpaid, may be sold under our statutory lien to recover outstanding amounts.
9. Payment
Unless we have approved credit terms in writing, invoices are payable in advance of release of cargo. Approved credit accounts are 14 or 30 days net from invoice date. Overdue accounts attract interest at 1.5% per month, compounded monthly.
10. Force majeure
Neither party is liable for delay caused by acts of God, war, civil unrest, government action, port closures, carrier failure outside our control or events of force majeure. We will however use reasonable efforts to mitigate the impact and to keep you informed.
11. Governing law
These conditions are governed by the laws of Malaysia. Any dispute arising will be subject to the exclusive jurisdiction of the Malaysian courts, save where a binding industry arbitration scheme applies.
